Organizing the Business Enterprise

This program, “Organizing the Business Enterprise”, is the first in a series of must-attend forums designed to help develop the skills of the new entrepreneur. Proper organization of the enterprise takes thought and research. The panel will advise the entrepreneur on the importance of careful legal and accounting procedures, and will discuss their experiences in structuring a new company. The succeeding four forums in the series will take place over the coming months: – Creating the Business Model – The Patent Portfolio and Intellectual Property Strategies – Building the Team – and Raising Capital.

Roger Glovsky
The Law Office of Roger P. Glovsky

For the past 18 years, Roger Glovsky has advised start-up and emerging high-tech businesses in a broad range of matters relating to corporate and business transactions, including business formation, technology licensing, sales and customer contracts, OEM and distribution agreements, equipment and office leases, and corporate administration. In 1992, he founded his own law firm, Roger P. Glovsky, P.C., which attracted over 75 business clients within the first year.  In 1995, Roger went "in-house" and served as a member of the executive management team for three Internet-related software companies.  From 1995-99, he served as President and CEO of FCR Software, a profitable software development company selling Internet protocol stacks on an OEM basis to top networking vendors such as Cisco, Microsoft, and Cabletron and selling remote access solutions directly to large enterprise customers such as Lockheed Martin, Motorola and Nortel.   In 1999 he joined Delphi Forums (which later became Prospero Technologies) and served as General Counsel and Director of Business Development.   In October of 2000, Roger joined the executive management team of Gold Wire Technology, a venture-backed start-up selling networking software tools to Tier 1 Service Providers such as Qwest and PSINet.

Larry Davidson
Kahn, Litwin, Renza & Co., Ltd

Larry Davidson practiced in the Entrepreneurial Services practice of Ernst & Young for over 35 years and recently joined Kahn Litwin Renza (KLR), the largest RI-based regional CPA firm.  He has specialized in providing services to privately-owned, venture-backed or small public companies helping them with accounting and financial consulting relating to debt and equity capitalization, growth drivers and exit strategies.  He has also served a variety of Venture Capital and Private Equity clients.  Larry was the Program Chairman for Ernst & Young’s New England Entrepreneur of the Year and a long term member of the Brown Forum for Enterprise.

David Skok
Matrix Partners

David Skok joined Matrix Partners as a General Partner in May 2001. He has a wealth of experience running companies: he started his first company at age 22;  now at 47, David has founded a total of four separate companies and performed one turn-around. Three of these companies went public. He joined Matrix from SilverStream Software, which he founded in June 1996. Prior to its July 2002 acquisition by Novell, SilverStream was a public company that had reached a revenue run rate in excess of $100m, with approximately 800 employees and offices in more than 20 countries around the world. Prior to the formation of SilverStream, David was the President and CEO of Watermark Software, a company he founded in January 1993 whose products fast became market share leaders in the document imaging marketplace. Watermark was sold in August 1995 to FileNet Corporation. David serves on the boards of AppIQ, Aras Corporation, Diligent Technologies Corporation, JBoss, Katana Technology, Netezza, and Solidworks. He holds a B.SC Honors Degree in Computer Science from the University of Sussex, England.

Clifton Dutton

Ibis Consulting

As vice president and chief technology officer, Cliff Dutton is responsible for both business and technology. In his role as CTO, he leads the efforts that align our technology strategy with our business objectives. Cliff also manages the development and implementation of Ibis’ marketing programs. Cliff brought more than 20 years experience as an entrepreneur, senior technology and management executive with him when he joined Ibis. Cliff has authored many technical and management papers, and is the inventor of three issued and two pending United States patents. Formerly president and CEO of Distributed Data Systems, Inc. a systems and software development firm sold to GTECH Corporation (NYSE: GTK) in 1998, Cliff served as a vice president of GTECH and president of GTECH’s UWIN! subsidiary. Additionally, Cliff has served as a director on both public and private boards, including: Simpli.com (sold to NetZero in 2000); Network Six, Inc, a provider of government administered human services solutions (sold to TRW, Inc. in 2001).
